Avania is hiring - Commercial Contracts, Manager

Join our Legal team and focus on managing, leading, drafting, negotiating and closing various commercial contracts (such as global sponsor/sales contracts, change orders, vendor contracts, confidentiality agreements, site agreements, and other Avania contracts), ensuring the protection of the of Avania’s legal interests in alignment with Avania’s business strategy.
As our Manager, Commercial Contracts, you will -
- Drive, negotiate, review, and process contracts in a commercially reasonable manner that protects Avania’s fundamental interests and in a manner consistent with company rules, practices, and policies. Execute agreements as appropriate under applicable business controls.
- Lead/produce/review/revise and manage negotiations for Client Specific Contracts and Supplier Contracts based on Avania or counterparty template, available guidelines and instructions from the legal team.
- Develop and ongoing maintenance of templates, negotiation guidelines and tools to lead the management of the contract processes, e.g. template CDA, MSA, CTA, QA as directed by the Sr Manager.
- Monitor expiration dates of commercial agreements, and work with management to determine appropriate follow up steps.
- Work closely with appropriate Business Development staff to keep them informed of progress of agreements.
- Provide support in client contract negotiations for BAP and Ops teams, including group negotiation calls and direct client communication.
- Collaborate with Avania operational staff to obtain all information required for the production or review of contracts, including scopes of work, budgets, and payment schedules.
- Identify potential obstacles in the contracting process promptly and work internally to minimize delays and to facilitate the prompt conclusion of contractual negotiations.
- Maintain, provide administrative support, create reports and perform other activities with respect to our contract management system (CMS).
- Set-up and improve the internal review/revision/sign-off process on contracts prior to forwarding to external parties.
- Provide necessary administrative and operational support to bring and maintain the legal in-housekeeping at diligence-able level with respect to all commercial contracts.
- Drive, promote and maintain a data protection culture; under Sr Manager's supervision, liaise with DPO, IT and other relevant stakeholders in an effort to ensure Avania complies with data protection laws and practices with taking into account GDPR, Australian Privacy Act, US HIPAA and (international) data transfers.
- Support the preparation of internal training materials and presentations.

What we seek -
- Bachelor-level degree required (LLB, LLM, JD, BA, or BS)
- 1-2+ years of experience in CRO environment preferred; prior regulated industry experience needed
- Prior Commercial Contracts experience with demonstrated ability to understand the technical (tech-savvy), financial and commercial aspects of a contract
- Experience in multiple jurisdictions (e.g. US/AUS/EU)
- Ability to apply knowledge of the principles of ICH GCP to their work and follow quality standard procedures
- Knowledge of data protection laws such as GDPR, HIPAA, etc.
- Understanding and familiarity with Excel-based bid models for management of clinical trials
- Excellent communication skills (including excellent English writing, speaking and reading skills) and strong negotiation skills; demonstration of sound judgment and critical thinking ability
- Team player with a high degree of integrity; able to be flexible, proactive, resilient and calm under pressure
